Terms & Conditions

Terms & Conditions of Sale – Atlantic Chemicals

These Terms & Conditions apply to all business-to-business (B2B) transactions with Atlantic Chemicals (“we,” “us,” “our”). By placing an order with us—whether through our website, email, or direct communication—you agree to be bound by the following terms.

We reserve the right to update or modify these Terms at any time without prior notice. The version in effect at the time of order confirmation will apply.

1. Payment Terms

Payment is due in full prior to order processing unless otherwise agreed upon in writing. Accepted methods include:

  • Interac e-Transfer

  • Bank Wire Transfer

  • Credit Card (subject to processing fees)

Approved accounts may be eligible for Net 15 or Net 30 terms, subject to credit checks. Overdue balances are subject to 2% monthly interest (24% annually).

Orders will not ship until payment is received or terms are confirmed.

2. Shipping & Handling

All shipments are F.O.B. shipping point unless otherwise stated. Curbside delivery is standard. Freight costs are the responsibility of the buyer and will be quoted prior to shipping.

Any required equipment for unloading (e.g., forklift) must be supplied by the receiving party. Additional handling charges may apply for oversize or hazardous materials.

3. Taxes & Exemptions

All orders are subject to applicable federal and provincial taxes unless a valid tax exemption certificate is on file.

For orders requesting GST/HST exemption under Native Status, the following must be emailed to info@atlanticchemicals.com before processing:

  • Copy of the front and back of the Native Status Card

  • Valid government-issued photo ID

  • Delivery address must be on-reserve

GST/HST will be refunded within 14 business days if applicable.

4. Commercial Use & Responsibility

All products are sold for commercial, industrial, or professional use only. The buyer is responsible for:

  • Ensuring product suitability for their application

  • Following all local regulations and codes

  • Proper storage, handling, and application of all materials

Atlantic Chemicals is not liable for misuse, misapplication, or failure to follow technical or safety instructions.

5. Warranties

All products are subject to the manufacturer’s warranty only. No other warranties are expressed or implied.

If the manufacturer does not offer commercial coverage, the product is considered sold as-is. Warranties do not cover:

  • Improper storage or handling

  • Incorrect application

  • Third-party labor costs

  • Normal wear and tear

Claims must be submitted in writing to info@atlanticchemicals.com, along with photos and proof of purchase. If accepted, replacement items will be shipped ground at no additional cost within Canada.

6. Limitation of Liability

Under no circumstances will Atlantic Chemicals be liable for:

  • Loss of profits

  • Downtime or delays

  • Third-party or consequential damages

  • Costs associated with labor, reinstallation, or project delays

Our liability is strictly limited to the value of the goods sold.

7. Pricing & Errors

All prices are quoted in Canadian dollars and are subject to change without notice. Taxes, duties, and shipping are additional unless otherwise stated.

We reserve the right to correct pricing errors and cancel orders due to inaccuracies.

8. Special Orders & Bulk Purchases

Custom orders, bulk purchases, and non-stock items may require a non-refundable deposit or full prepayment. These orders are non-cancellable and non-returnable once confirmed.

9. Returns & Restocking

Returns are only accepted with prior written approval. A restocking fee of up to 25% may apply. Returns must meet the following criteria:

  • Requested within 30 days of delivery

  • Product is in new, unused, and resalable condition

  • Original packaging is intact

Freight for returns is at the buyer’s expense unless the product is defective or shipped in error.

Non-returnable items include:

  • Custom or special orders

  • Opened containers or damaged packaging

  • Time-sensitive materials (e.g., seasonal, perishable, or hazardous goods)

10. Delivery Issues & Claims

Delivery discrepancies or damage must be reported to info@atlanticchemicals.com within:

  • 5 business days for small parcel

  • 14 business days for LTL/freight

Photos and a signed delivery receipt noting the issue are required for claims.

11. Force Majeure

We are not liable for delays or failure to deliver due to causes beyond our control, including but not limited to:

  • Acts of God

  • Supply chain disruptions

  • Transportation delays

  • Labor disputes

  • Regulatory changes

12. Governing Law

These Terms & Conditions are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable therein. All disputes will be resolved in the courts of New Brunswick.
